Terms of Service

Welcome to the website and online services (collectively, our "Service") of Axonwise Private Limited, doing business as Sarvam.AI ("Sarvam.AI," "we," "our," or "us"). This page explains the terms by which you may use our Service (these "Terms"). By accessing or using our Service, or by clicking "I Accept" (or similar), you signify that you have read, understood, and agree to be bound by these Terms whether or not you are a registered user of our Service. You also acknowledge that you have read our Privacy Policy. We reserve the right to modify these Terms and will provide notice as described below. These Terms apply to all visitors, users, and others who access our Service ("Users").
PLEASE READ THESE TERMS CAREFULLY. THESE TERMS INCLUDE A DISPUTE RESOLUTION CLAUSE PROVIDING FOR BINDING ARBITRATION UNDER INDIAN LAW (ARBITRATION AND CONCILIATION ACT, 1996).
Organizational Use: If you access our Service on behalf of a company or entity (an "Organization"), then: (a) these Terms bind both you and that Organization; (b) you represent you have authority to bind that Organization; (c) your individual access may be suspended if you cease association with that Organization; (d) we may share information about your use with that Organization; and (e) "you" and "your" refer to both you individually and the Organization.
Section 1: Service Administration
1.1 Eligibility
You may use our Service only if you can form a legally binding contract with us and comply with these Terms and all applicable laws. You must be at least thirteen (13) years old. If you are a minor (under 18), you may use our Service only with parental or guardian involvement. Our Service is not available to Users we previously removed.
1.2 Service Accounts
Your account ("Service Account") gives you access to our Service. We may maintain different account types with varying features, rate limits, and support levels. You do not own your Service Account. You are solely responsible for all activity on your Service Account. You must keep passwords, API keys, tokens, and credentials ("Credentials") secure. Notify us immediately of any security breach. By providing your email, you consent to receiving Service-related notices via email.
1.3 Changes, Suspension, and Termination
You may cancel your Service Account per Section 5.3. We may change our Service, stop providing features, create usage limits, or terminate or suspend your access without notice, for any reason, including Terms violations.
1.4 User Interactions
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. WE HAVE NO OBLIGATION TO MONITOR USER DISPUTES. WE DISCLAIM ALL LIABILITY ARISING FROM USER INTERACTIONS.
Section 2: Service Description and Access
2.1 Services Provided
Subject to your compliance with these Terms, you may access and use our Services for business or personal use. Our Services include:
- Model APIs: proprietary and third-party language models, speech processing, embeddings, vision models;
- Developer Tools: SDKs, libraries, API documentation, code samples, tutorials, dashboards;
- Analytics and Monitoring: usage analytics, performance metrics, error reporting, system health dashboards.
2.2 Service Tiers
We offer Services under different tiers with varying features, rate limits, and support. Each tier has defined usage limits ("Usage Limits") including API call rates, RPM, TPM, concurrent connections, and storage quotas. You may upgrade anytime. Downgrades may be restricted.
2.3 Services Term and Renewal
The Services Term begins on account activation and continues until terminated. For pay-as-you-go accounts, there is no fixed subscription term. For subscription plans, the services term continues for the selected period and automatically renews unless you provide written non-renewal notice at least seven (7) days before the term end. We may adjust renewal pricing with at least thirty (30) days' notice.
2.4 Software License
If you receive software in connection with our Service, we grant you a non-exclusive, non-transferable, non-sublicensable license to use it solely as necessary for your Service use.
2.5 Usage Restrictions
Except where prohibited by law, you agree not to:
- reverse engineer or decompile our Service;
- use robots, spiders, scrapers to access or collect data;
- copy, rent, lease, sell, or create derivative works of our Service;
- buy, sell, or transfer API keys without consent;
- use our Service in ways that impact stability;
- use our Service to violate laws or third-party rights;
- use our Service to develop competing products or train competing AI models;
- access content through unauthorized technology;
- bypass access restrictions;
- interfere with security;
- transmit spam;
- use for commercial solicitation;
- transmit viruses or malicious software;
- impersonate others;
- collect PII;
- share passwords;
- imply endorsement without consent;
- upload abusive content;
- allow minors without parental consent;
- use voice cloning without consent;
- create deepfakes;
- use for fraud, harassment, or harm;
- use output to train competing models;
- extract data beyond authorized use;
- circumvent Usage Limits across accounts.
2.6 Model Lifecycle and Deprecation
We may update, modify, or deprecate AI models. For generally available models, we will provide at least thirty (30) days' prior notice before deprecating. For beta/preview features, at least thirty (30) days' notice. Deprecation notices will be communicated via email and developer changelog at sarvam.ai/changelog.
Section 3: Your Content and Output
3.1 Ownership of Your Content
You (or your licensors) own all information and content provided to our Service ("Your Content"). WE CLAIM NO OWNERSHIP RIGHTS OVER YOUR CONTENT.
3.2 Limited License to Us
You grant us a limited, non-exclusive, revocable license to use, copy, store, and display Your Content solely to: (a) maintain and provide our Service; (b) provide customer support; (c) detect and prevent abuse; (d) comply with legal obligations; (e) in de-identified and aggregated form, analyze usage patterns to improve our Services.
We will not use your identifiable Content to train or fine-tune AI models without your explicit opt-in consent. We retain Your Content only as necessary. You may request deletion anytime. Upon request or termination, we delete Your Content within thirty (30) days.
3.3 Sub-processors
We may engage third-party service providers ("Sub-processors"). We will notify you at least thirty (30) days before adding or replacing Sub-processors. You may object within fifteen (15) days.
3.4 Ownership of Output
You own all responses, completions, embeddings, translations, classifications, and outputs generated by Services based on your Input ("Output"). We assign to you all our right, title, and interest in Output.
OUTPUT MAY NOT BE UNIQUE. OUTPUT MAY BE INCORRECT AND NOT REFLECT REALITY. OUTPUT MAY CONTAIN "HALLUCINATIONS." WE ARE NOT LIABLE FOR DAMAGES FROM OUTPUT.
3.5 Your Content Representations and Warranties
You represent and warrant that:
- you have written consent from identifiable persons;
- you obtained all legally required consents;
- Your Content will not violate law or third-party rights;
- if using voice cloning, you have required permissions;
- Your Content excludes classified information;
- you will not upload children's personal information;
- all Your Content is truthful and accurate.
Section 4: Intellectual Property
4.1 Our Intellectual Property
Our Service, all materials, software, algorithms, code, technology, and underlying IP are our sole property. "Intellectual Property Rights" means all patent, copyright, moral rights, publicity rights, trademark, trade secret, and other IP rights.
4.2 Feedback
If you submit Feedback, you agree we own it and may use it without compensation.
Section 5: Fees, Payment, and Billing
5.1 Fees and Pricing
Certain Service aspects are free; others require payment. We may add new services for fees or amend existing fees with at least thirty (30) days' notice. For usage-based services, fees are calculated based on consumption and billed in arrears. Prepaid credits are non-refundable. For subscription plans, fees are paid in advance and non-cancelable.
5.2 Payment Methods and Terms
All payment information must be accurate. All payments are non-refundable. For usage-based Services, our usage measurement is authoritative; disputes must be raised within thirty (30) days. Monthly or annual billing. Overage fees per applicable tier rates.
5.3 Subscription Plans
- (a) Subscription Services auto-renew.
- (b) Automatic Billing authorized.
- (c) Cancellation: notify at least fifteen (15) days before next term via account console or support.
- (d) No refunds for fees already paid.
5.4 Promotional Offers
We may offer special plans at our discretion.
5.5 Credit Auto-Reload
Auto-Reload charges your Payment Method when balance falls below threshold. Non-refundable.
5.6 Taxes
Fees exclude taxes. We will charge applicable taxes unless you provide an exemption certificate.
5.7 Failed Payments and Late Fees
If payment fails, we re-attempt within five (5) business days. Late fee: 1.5% per month on unpaid balance.
5.8 Invoice Disputes
Continue paying undisputed amounts. We respond within fifteen (15) business days.
Section 6: Privacy and Data Security
6.1 Privacy
We care about your privacy. We process data in compliance with GDPR, CCPA, and India's DPDPA 2023.
6.2 Security
We implement commercially reasonable security measures including: data encryption (TLS 1.2+), access controls, regular security audits, incident response procedures, and employee training. No system is completely secure. You are responsible for protecting API keys and credentials.
6.3 Data Subject Rights
We will promptly notify you of data subject requests and cooperate to respond per applicable law.
Section 7: Confidential Information
7.1 Definition
"Confidential Information" means non-public, proprietary, or confidential information. Exclusions: publicly available; available from a third party; in the Receiving Party's possession; independently developed.
7.2 Protection and Use
Protect with commercially reasonable care; use only for exercising rights under these Terms; not disclose except to service providers bound by confidentiality.
7.3 Compelled Disclosure
Use commercially reasonable efforts to notify before legally compelled disclosure.
7.4 Injunctive Relief
Each party is entitled to seek injunctive relief for breaches.
Section 8: Indemnification
8.1 Your Indemnification Obligations
You agree to defend, indemnify, and hold us harmless from claims arising from: your Service access or use; Terms violation; third-party rights violation; applicable law violation; Your Content; willful misconduct; third party access with your credentials.
8.2 Our Indemnification Obligations
We will defend you from claims that Services infringe third-party IP rights. Exclusions: your modifications; use with non-Sarvam products; Your Content; your applications; your Terms violation.
Section 9: Warranties and Disclaimers
Beta Features may change or be discontinued without notice.
OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT. CONTENT IS NOT PROFESSIONAL ADVICE.
Section 10: Limitation of Liability
WE ARE NOT LIABLE FOR INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. LIABILITY CAP: TOTAL FEES PAID DURING TWELVE (12) MONTHS PRECEDING THE INCIDENT. IF NO FEES PAID, LIMITED TO INR 1,00,000.
Section 11: Term and Termination
11.1 Term
Effective when you first access Service. Auto-renews unless thirty (30) days' non-renewal notice is provided.
11.2 Termination
Either party may terminate if the other party materially breaches and fails to cure within thirty (30) days, or ceases operations/insolvency. We may also terminate immediately for Terms violations or security risks.
11.3 Effect of Termination
Access rights cease; pay outstanding fees; we delete Your Content within thirty (30) days; cease Output use; Sections 3, 4.1, 4.2, 8, 9, 10, 7, 12, and 13 survive.
Section 12: Dispute Resolution
12.1 Governing Law
Karnataka, India laws. Exclusive jurisdiction in Bengaluru, Karnataka.
12.2 Arbitration
Binding arbitration per the Arbitration and Conciliation Act, 1996. Contact us first for informal resolution within thirty (30) days. Escalate to senior management within sixty (60) days. Single arbitrator. Bengaluru, Karnataka. English. Each party bears own costs. Award is final and binding.
12.3 Exceptions to Arbitration
Not required for: injunctive relief; small claims; unpaid fee collection or IP enforcement.
Section 13: General Provisions
13.1 Assignment
You may not assign without our consent. We may assign without restriction.
13.2 Notification and Changes to Terms
We may modify Terms with at least thirty (30) days' advance notice for material changes.
13.3 Entire Agreement; Severability
These Terms constitute the entire agreement between you and Sarvam.AI. If any provision is held invalid, the remaining provisions remain in effect.
13.4 No Waiver
Our failure to enforce any right or provision does not constitute a waiver.
13.5 Publicity
We may identify you as a customer unless you opt out.

13.7 Force Majeure
Neither party liable for delays beyond reasonable control. If continues more than thirty (30) days, either party may terminate without penalty.
13.8 Export Controls
Comply with India's Foreign Trade Policy, DGFT regulations, SCOMET list.
13.9 IP Infringement Reporting
Send written notice to legal@sarvam.ai per IT Act, 2000 and Copyright Act, 1957.
Annexure A: Service Level Agreement (SLA)
A.1 Availability
99.5% uptime for paid subscription tier accounts (excluding scheduled maintenance, emergency outages, force majeure). Free tier and pay-as-you-go not covered.
A.2 Scheduled Maintenance
Low-traffic periods; at least seven (7) days' notice. Emergency maintenance may have shorter notice.
A.3 SLA Exclusions
Scheduled maintenance; your equipment issues; DoS attacks; force majeure; third-party failures; Usage Limits breaches.
Annexure B: Support Services
B.1 Support Tiers
- Tier 1: Community (Free)
- Tier 2: Standard
- Tier 3: Premium
- Tier 4: Enterprise
B.2 Support Scope
Includes: troubleshooting, API integration assistance, best practices guidance, documentation clarification, bug reporting.
Does NOT include: customization, consulting, third-party integrations support, infrastructure support, training, data migration.
Annexure C: Data Processing Addendum (DPA)
C.1 Scope
Applies when Customer processes personal data through Services. Complies with EU GDPR, UK GDPR, CCPA/CPRA, India DPDPA 2023.
C.2 Definitions
Controller, Processor, Data Subject, Personal Data, Processing.
C.3 Roles
Customer is Controller; Sarvam.AI is Processor.
C.4 Processing Instructions
Per Section 3.2 of these Terms.
C.5 Confidentiality
Authorized persons subject to confidentiality obligations.
C.6 Security Measures
Per Section 6.2 of these Terms.
C.7 Sub-processing
Per Section 3.3 of these Terms. General authorization. 30 days' notice.
C.8 Data Subject Rights
Per Section 6.3 of these Terms.
C.9 Data Deletion
Within thirty (30) days of termination or request.
C.10 Audits
Once per calendar year.
C.11 Data Breach Notification
Notify without undue delay; provide information and cooperation; take remediation steps.
C.12 International Transfers
Appropriate safeguards per applicable data protection laws.
Annexure D: Sarvam Content Studio (Additional Terms)
D.1 Scope
Applies to Content Studio (voice generation, voice cloning, dubbing, narration).
D.2 Voice Rights, Consent & Personality Rights
Must have all rights, permissions, releases, consents. Must not clone voices without explicit consent.
D.3 Impersonation & Deepfake Misuse
Must not create content that impersonates, misleads, or is used for fraud, harassment, political manipulation, or scams.
D.4 Copyright and Media Ownership
Responsible for ensuring inputs don't infringe third-party rights.
D.5 Beta Features
Provided "AS IS" without warranties.
D.6 Content Liability
You are solely responsible for your use of Content Studio and all content generated.
D.7 Content Moderation
We may monitor, review, remove, or restrict content.
D.8 Reporting & Cooperation
You agree to cooperate with investigations.
Annexure E: Definitions
- "Agreement" means these Terms of Service together with Service-Specific Terms, DPA, and applicable Order Forms.
- "Authorized Users" means employees, consultants, or contractors designated by Customer.
- "Billing Period" means recurring period for charges.
- "Credentials" means account credentials, API keys, tokens, passwords.
- "Customer" means organization or individual agreeing to these Terms.
- "Effective Date" means date Customer first accepts Terms.
- "Fees" means all charges payable.
- "Input" means all inputs, prompts, queries, data provided to Services.
- "Order Form" means order document specifying Services.
- "Output" means all responses, completions, embeddings, translations generated by Services.
- "Services" means Sarvam.AI's AI, ML, and developer platform services.
- "Services Term" means duration for which Services are provided.
- "Sub-processors" means third-party service providers.
- "Usage Limits" means defined usage limits per service tier.
